1. Introduction

The "Company" in the text refers to the simplified joint stock company DIVABOX, stock company simplified with a capital of 40 000 Euro, which is identified at the Commercial and Companies Registry of AJACCIO under the number 301 242 772, with head offices in 20090 AJACCIO.

The "Website" refers to the Website www.origines-parfums.com (collectively "Origines", "us", "we" or "our").

The "Products" refer to all the items sold on the Website: fragrance, make up, skin care, hair care, bath & body care and accessories.
The Products available on the Website, including any samples Orignes may provide to you, are for your personal use only. You may not sell or resell any products you purchase or otherwise receive from Origines. Origines reserves the right, with or without notice, to cancel or reduce the quantity of any order to be filled or products to be provided to you that may result in a violation of these Terms of Use, as determined by Origines in its sole discretion.

The "Client" refers to a natural or legal non-professional person who places an order on the Website as a consumer.

The "Parties" refer to the Company and the Clients.

The purpose of the Website www.origines-parfums.com is to offer an e-commerce site for online purchases by users of services and Products such as perfumes, cosmetics and accessories.

The Website is operated by the Company. This Website and its content including all text, graphics, logos, button icons, images, data compilations and software used in connection with the Website, is our property or that of our suppliers and is protected by copyright, trademarks, database rights and other intellectual property rights.


2. General

By registering and accepting Origines Terms of Use you confirm that you are at least 18 years of age and all information and details provided are your correct, current and complete details. You agree that you will not use the Website for criminal, fraudulent or illegal activity or in any manner which would cause harm or distress to any third party. If we suspect fraudulent account activity or behaviour we reserve the right to suspend, restrict or terminate your access to the Website at any time without notice.
By placing an Order you are offering to purchase a Product on and subject to the following terms and conditions. All Orders are subject to availability and confirmation of the order price.
By using the Website, you agree to these Terms of Use. We may change or update these Terms of Use, so please check this page regularly. Any modifications to these Terms of Use will become effective when published on the Website. Your continued use of the Website after any modifications of these Terms of Use constitutes your agreement to be bound by the modified Terms of Use.
These Terms of Use complete the information on our legal identity that is described on the page About Us.


3. Products

Origines is the Website selling online fragrance, make up, skin care, hair care, bath & body care and accessories.
In accordance with Article L.111-1 and following articles of the French Consumer Code, the Client can find all information about the Product(s) before placing an Order by clicking on the Product(s).
All Products we sell are genuine and supplied by the brand owners, manufacturers or authorised distributors.
Special offers on the Website are valid as long as stocks are available.
All product description on the Website is supplied by the brand owners and manufacturers.
All stock levels shown on the Website are live from our warehouse, however on rare occasions there may be errors in the warehouse, on these occasions we will contact you to inform you of the issue and any delay that may occur.
Although we do our utmost to ensure all prices shown on our Website are accurate, errors may occasionally occur. If we discover an error in the price of a Product you have ordered, we will contact you as soon as possible.
We may change the Website and correct, update or delete information including product details on it, or amend this Terms of Use at any time without notice.
All the Products on the Website can be sold and delivered only within the European Economic Area.


4. Product listings & Descriptions

We take every care to ensure that the product images, description and specification of each Product listed on the Website are accurate. However, although the colours in images on the Website are a close representation a slight difference may occur in the actual Product you receive. We always recommend trying the Products that we sell in store before purchasing online.
The Company is not responsible for any error of image or description on the Website.
All product description on the Website is supplied by the brand owners, manufacturers or distributers. However, there are occasions where a product packaging may be updated and a brand has not informed us, in this case please contact our Customer Service Team to inform us of the error so that it can be resolved as soon as possible.
You acknowledge that, from time to time, you may not be able to access the Website, including, without limitation, due to technical difficulties; repairs or maintenance which we may undertake as needed; or causes beyond our control or which we cannot reasonably foresee. You further acknowledge that Origines does not represent or warrant that the information on the Website is accurate, reliable, complete, comparative to the market or current, including with respect to pricing, discount, sales and availability information. Without limiting the generality of the forgoing, Origines does not represent or warrant that the quality of any products, services, information or other material obtained by you through the Website will meet your expectations or needs. Origines reserves the right to correct any errors or omissions, and to change or update information, at any time without prior notice, but is under no obligation to do so and does not represent that it shall correct any errors or omissions.


5. Shopping Online

5.1 Online Order

By accessing this Website you agree to these Terms of Use, whether or not you have read them. By placing an Order you are offering to purchase a Product on and subject to the following Terms of Use. Please review these Terms of Use carefully. If you do not agree to be bound by these Terms of Use, you must refrain from using the Website immediately.
The Client is informed that the Website www.origines-parfums.com is solely for personal non-commercial use and the Website may not be used for any other uses. In order to contract with Origines you must be over 18 years of age. Origines retains the right to refuse any request made by you, and Origines reserves the right to close your account at its sole discretion.
By submitting an order to us through our Website, you confirm that you are the person referred to in your billing details and all of your details are valid and correct. All information you provide must be truthful, and you may not use any aliases or other means to mask your true identity.

If we suspect fraudulent account activity or behaviour we reserve the right to cancel your order, to suspend, restrict or terminate your access to the Website at any time without notice.

If we suspect professional commercial use of the Website we reserve the right to cancel your order, to suspend, restrict or terminate your access to the Website at any time without notice.

In accordance with Article L.213-1 of the French Consumer Code, the Company saves all the information about the Orders 120€ and over for 10 years following the delivery date of the package. The Client has total access to this information simply by making a request to the Company.
According to the Data Protection Act of January 6th, 1978, the Client is entitled to access, change, correct and delete personal data about them by sending a letter, with a proof of identity, to the Company.

Products may be ordered by clicking on the item you wish to purchase and then following the prompts that will appear on-screen. You may check and correct any input errors in your Order up until the point at which you submit your Order to us by clicking the "Checkout" button on the checkout page.
The Client can buy 9 identical products per order. All orders are subject to acceptance by the Company. Origines is not obliged to accept your order and may, in its discretion, decline to accept any order with more than 9 identical products. The purpose of the Website www.origines-parfums.com is to offer an e-commerce site for online purchases by users of services and Products such as perfumes, cosmetics and accessories for personal use only.
During the step in the checkout process, the Client can add, edit, or delete information. Make sure to provide precise city, state, and zip code information. Remember to spell out the city to which you are shipping the order. Many times abbreviations, misspellings, and other typos can result in errors in this section.
The Client guarantees Origines that he/she is authorised to use the payment method chosen for the Order at the time of placing the Order. Payment methods: Credit Card, Cheque, Transfer.
Once the Client confirms the Order by clicking on "Checkout", he/she declares that he/she has knowingly accepted the content and conditions of the Order in question and, in particular, these General Conditions of Sale, prices, volumes, characteristics, quantities and delivery times of the Products on sale and ordered by the Client.
The sale will be final only when the Order is accepted by Origines, by sending an order confirmation email to the Client. The order confirmation email is your receipt that can be printed for your records. The Client can also make a digital copy of the email. The order confirmation email includes your order number (the same number that appeared on the Website after successful submission of an Order), the details of the Products and corresponding prices, any credits or promotional discounts, taxes, shipping charges (if applicable), your ship-to and bill-to information, and the ship method.

5.2 Brands La Roche Posay, Vichy, Skinceuticals et Roger & Gallet

The products of the brands La Roche Posay, Vichy, Skinceuticals et Roger & Galletcan be purchased by the Clients who are residents of a member state of the European Economic Area or the European Free Trade Association (Norway, Switzerland, Iceland and Liechtenstein).

A Client can order up to 6 identical Products of La Roche Posay, Vichy, Skinceuticals et Roger & Gallet per order, per day. Origines is not obliged to accept your Order and may, in its discretion, decline to accept any Order with more than 6 identical Products of these brands. We remind that Origines is an e-commerce site for online purchases by the Clients of Products for personal use only.


6. Order confirmation

The sale will be final only when the Order is accepted by Origines, by sending an order confirmation email to the Client. The order confirmation email includes the order number, the details of the Products and corresponding prices, date, taxes, shipping charges (if applicable), the ship-to and bill-to information, and the ship method.


7. Cancellation

The Client may cancel an Order at any time before the Order is dispatched, by sending an email request to the Company.


8. Pricing policy, Billing & Payment

8.1 Price

All prices shown on the Website are in euro and are inclusive of VAT, where applicable. Prices may change and promotions may be withdrawn or altered at any time. Special offers on the Website are valid as long as stocks are available. The price of a Product shall be stated on the Website at the time you place your Order and does not include shipping charges. The shipping charges shall be added, if applicable, to the total price of the Order according to the shipping method. The Client shall be informed about any changes of VAT before placing an Order.

8.2 Billing

The Client can find the status of a particular Order, the invoice and view the order history in “My Account”. In order to make a complaint regarding the invoice the Client can contact us by email within 10 days after the date the Order was placed. Failing that, it shall be deemed to have been approved by the Client, and the Client shall not cancel the payment solely on the basis of the incomplete delivery.

8.3 Payment

Payment must be carried out by the Client during the ordering. At no time payments may not be considered as down payments or installments.
All prices shown on the Website are in euro and are inclusive of VAT, where applicable. If you choose to pay for a Product using a card with a foreign currency denominated account that is different to the chosen currency, the payment will still be taken in the chosen currency; the amount charged in your currency will be determined by your card issuer at the time of purchase. We take no responsibility for this amount or any other charges your card issuer may apply to the transaction neither for payment nor for refund.
We accept payment by the credit cards, cheque, transfer and gift voucher.

-Credit Cards

We accept payment by the following credit and debit cards: Carte Bleue, Visa, Master Card issued in the European Union and Monaco.

During the checkout process, the Client will be asked to enter payment details. By completing payment details the Client confirms that the credit card being used is his/hers. All fields indicated as compulsory must be completed. Communications relating to payment and the data provided by the Client during payment take place on dedicated protected lines and with all the guarantees provided by the payment networks’ use of security protocols. The amount due appears on the invoice and the order confirmation email.

-Cheque

We accept payment via Cheque issued in France. The Client can contact the Company by phone or by email in order to make a request to our Customer Service. Once this payment method has been activated, the Client can place an Order on our Website. The sale will be final only when the Order is accepted by Origines, by sending an order confirmation email to the Client. The order confirmation email includes the order number, the details of the Products and corresponding prices, date, taxes, shipping charges (if applicable), the ship-to and bill-to information, the ship method, the payment method and the mailing address to send the Cheque.
Once the Client has placed an Order, it will be sent to our warehouse to be processed and packed for shipment. During this time, the order status will appear as "In Progress."
Once we have received the payment and the Order has left our warehouse, the order status will appear as "Shipped". The invoice for the Order will be sent to the Client.

-Transfer

We accept payment via Bank Transfer. The Client can contact the Company by phone or by email in order to make a request to our Customer Service. Once this payment method has been activated, the Client can place an Order on our Website. The sale will be final only when the Order is accepted by Origines, by sending an order confirmation email to the Client. The order confirmation email includes the order number, the details of the Products and corresponding prices, date, taxes, shipping charges (if applicable), the ship-to and bill-to information, the ship method, the payment method and our bank account number.
Once the Client has placed an Order, it will be sent to our warehouse to be processed and packed for shipment. During this time, the order status will appear as "In Progress."
Once we have received the payment and the Order has left our warehouse, the order status will appear as "Shipped". The invoice for the Order will be sent to the Client.

-Voucher

A digital voucher can be activated in your account by the Company, it will be automatically activated when you place a new Order on Origines. A digital voucher is available one year from the date of issue.
The Client guarantees Origines that he/she is authorised to use the payment method chosen for his/her Order at the time of placing the Order.

If the Company suspects fraudulent account activity or behavior, lack of payment, even if it is partial, it reserves the right to cancel your Order, to stop the delivery, to suspend, restrict or terminate your access to the Website at any time without notice.

Penalties of an amount equal to the base lending rate increased by 5 points are applicable by rights to the unpaid amounts at the conclusion of a delay of 10 days according to the date of invoicing or from the announcement of the refusal of banking payment for quite other means of payment. The delivery of any new Order can be suspended in case of delay in payment of a previous Order.

As part of our order processing procedures, we screen all received Orders for fraud or other types of unauthorized or illegal activity. We reserve the right to request a copy of the credit card, the proof of address and the identity document.
We reserve the right to refuse to process an Order due to suspected fraud or unauthorized or illegal activity. If such is the case, we may reject your order or our Customer Service department may call you at the phone number you provided (or use your email address) to confirm your Order. We also reserve the right to cancel any accounts or refuse to ship to certain addresses due to suspected fraud or unauthorized or illegal activity. We take these measures to protect our customers as well as ourselves from fraud or other unauthorized or illegal activity.


9. Delivery

9.1 General rules

We will deliver directly to the delivery address according to the delivery address that is indicated during the process of the Order to the following countries: France metropolitan, Overseas France, Belgium, Luxembourg, Switzerland, Germany, Austria, Spain, Italy, The Netherlands and The United Kingdom. It is client’s responsibility to complete the delivery address with utmost precision to ensure the correct delivery of the parcel.

Once the order is dispatched, we will send an invoice to the email address specified in your Order.

All stock levels shown on the Website are live from our warehouse, however on rare occasions there may be errors in the warehouse, on these occasions we will contact you to inform you of the issue and of the date when the Product will be back in stock. We will then ship to you the items available, unless instructed otherwise. In general, the Order can not be canceled due to insufficient inventory.
Unless the Client does comply to the under mentioned procedures, no complaint shall be accepted.

9.2 Delivery terms and conditions

The parcel is delivered by a carrier. All risk in the Products you order (including risk of loss and/or damage to the Products) shall pass to you when they are handed over to the carrier.

Please note a customer signature is required. Also any individual with power of attorney who is authorized to sing on behalf of the Client can receive the order.
You must be available at the delivery address to accept your parcel, if you are not available to receive your Order, a card should be left for you to collect your parcel at your local Mail sorting office within 15 working days. Beyond this time, the parcel will be returned to the sender.

The parcels are delivered according to the delivery address that is indicated during the process of the Order. It is Client’s responsibility to complete the delivery address with utmost precision to ensure the correct delivery of the parcel. If the parcel can not be delivered due to incomplete or incorrect address information, extra charges will occur for the re-dispatching of the parcel. The Client may also demand cancellation of the Order and full refund.
There is no right of objection if the package is announced as delivered.
If you have a complaint about a parcel (damaged package, opened package or anything else), please contact our Customer Service. You should not open the parcel. You must make a formal complaint with the mail company and provide a finding of spoliation within 5 working days.
If you have a complaint about a Product (damaged item, missing item or anything else), please contact our Customer Service.

9.3 Delivery times

Delivery times are given as accurately as possible but without any guarantee by the Company.
Orders are not processed on Saturdays or Sundays, while all Orders received from Monday to Friday (excluding public holidays) will be dispatched the next working day, within the limit of stocks available.
As part of our order processing procedures, we screen all received Orders for fraud or other types of unauthorized or illegal activity. We reserve the right to conduct additional research if necessary. In such case the delivery of the Order is moved from its original scheduled date.
Once the Order is confirmed by the Company under the conditions described in Article 5, the delivery of the parcel will take place within 20 working days or earlier, including preparation time.

In accordance with the provisions of Articles L. 114-1 and R. 114-1 of the French Consumer Code, the Company undertakes to deliver Orders 500€ and over within a maximum period of 30 working days.
The Client has the right to cancel an Order 500€ and over by informing the Company by registered mail with return receipt requested, if the Order has not been delivered within a period of 37 working days for reasons other than force majeure. The Company will then conduct an investigation with the carrier before the refund of the Order.

The Client has also the right to cancel an Order 500€ and over during 60 days (after the maximum period of 37 working days from the date of the Order), in case of delay or problem of delivery. The Company will process a full refund or add a gift voucher for the total amount paid, if the entire Order is returned to the Company, excluding any other compensation or damage.
The refund will be issued as soon as possible, this can take up to thirty working days from the date the Client has exercised his/her right to cancel the Order. The Client will also have the right to get a new delivery without any discount or payment of damages. In any case, delivery can only take place if the customer has met all its obligations with regard to the Company, regardless of their nature.
For all Orders less then 500€, the Client does not have the right to cancel the Order in case of the delay of delivery. The Client may not claim a late delivery penalty or refund.
The Company keeps the client informed, within a fairly decent timeframe, of any delays in delivery or services due to force majeure or events that make delivery by the carrier difficult.

If the Product is out of stock, the client will be informed by email or by phone. The client may ask for a partial delivery of the Order or the refund of the out of stock items.


10. Reception of the Order

All of our Products are dispatched in packaging that ensures maximum protection and they always arrive at their destination perfectly intact. However, if at the time of collecting the package you notice evident damage to the box (squashed or open), we kindly ask you to refuse the collection explaining your reasons in writing on the forms provided by the Post, and promptly contact our Customer Service team.


11. Return Policy

11.1 Legal Right and Withdrawal period

Article L. 221-28 of the French Consumer Code stipulates that the beauty Products must be returned in perfect condition for resale in their original condition, properly sealed and accompanied by the delivery order which contains the return merchandise authorisation. The client can not return a beauty Product that has been opened, used, for reasons to do with the protection of public health. Neither refund nor exchange can take place.

Article L. 221-18 of the French Consumer Code stipulates that any customer can exercise his right of withdrawal under the best conditions. The period of statutory right of withdrawal is 15 working days after receipt of the product.
Proceed to a product return. The Client can obtain a return merchandise authorization within fifteen days of receipt of the Order. This request is made by email to info@origines-parfums.com or in writing to the address SAS DIVABOX - CS 14001 - 20700 AJACCIO CEDEX 9. The request must be clear, legible, include contact information and order details.

The Client then has 15 working days to return the items to the address SAS DIVABOX - CS 14001 - 20700 AJACCIO CEDEX 9.
The Products must be returned in perfect condition for resale in their original condition, properly sealed and accompanied by the delivery order which contains the return merchandise authorisation. The shipping costs for returned Products remain the responsibility of the customer.
The Company does not accept packages with the postage due. The return of Products after the legal limit set for the return and cancellation of contract will not be accepted.

It is highly recommended to send all Products in their original condition with the same Shipping Method (Colissimo Suivi, Chronopost) as the initial Order. The Client should keep a copy of the proof of sending until the refund of the Products is issued.

Article L. 221-24 of the French Consumer Code stipulates that if the Client claims his/her rights according to the above mentioned conditions, the Company undertakes to issue the refund for the Products (including shipping costs of the Order) returned or sent to the Company within 15 working days from the date the Client has obtained a return merchandise authorization.
The Client decides to receive a refund of the amount paid for the Products returned to the central warehouse by refunding the relative sum to the credit card or by bank transfer. There is no additional charge for the refund.


11.2 Contract Right and Withdrawal period

As a trade bill, the cancellation period for goods and services for sale on the Website is extended to sixty days of receipt by the customer or the ordered execution of the service. The customer returning a Product within that period shall have the right refund the price of Product ordered and reimbursement of shipping costs. The shipping costs for returned Products remain the responsibility of the customer. The Products must be returned in perfect condition for resale in their original state (packaging, accessories, instructions ...) and duly sealed.


12. Returns Policy for faulty or incorrect items

12.1 Terms and Conditions

If the Client is looking to return a faulty or incorrect item, he/she should get in touch with our Customer Service within 7 working days after receipt of the Order. The
Client must communicate order number, date, product code, quantity and the reason of the return.
The Products must be returned in perfect condition for resale in their original condition, properly sealed and accompanied by the delivery order which contains the return merchandise authorization.
The Client can return the items to the address SAS DIVABOX - CS 14001 - 20700 AJACCIO CEDEX 9. The shipping costs for returned Products remain the responsibility of the customer. Any risk due to the return of the item is the own responsibility of the Client.
The Company does not accept packages with the postage due. The return of Products after the legal limit set for the return and cancellation of contract will not be accepted.

12.2 Refund or Exchange

An exchange may only be carried out with Products of equal or greater cost to those which the Client wants to return. A refund or a gift voucher, even if only partial of the amount spent, may be obtained only by returning the Product to the Company, to the exclusion of any indemnity or damages.


13. Guarantee

The Client benefits from the legal guarantee of manufacturing defects according to articles
1641 - 1649 of the French Civil Code and from the legal warranty of conformity as stipulated in the Section L.217-4 and seq. of the Consumer Code.
Article 1641 of the Civil Code stipulates that « The Vendor is bound to warrant against hidden defects in the sold product that render it unsuitable for the intended use, or which are so diminishing with respect to such use that, if he had known, the purchaser would not have acquired it, or would have paid a lower price for it. » To exercise this warranty, the Customer has two years from the date on which the hidden defect is discovered (Article 1648 of the Civil Code) or from the date on which the Order is delivered (Article L.217-12 of the French Consumer Code).
In accordance with the provisions of articles L 211-4 et seq. of the Consumer Code, the Customer has the benefit of the legal warranty of conformity which he may exercise within two years following delivery of the Product. This warranty applies when a Product is unsuitable for the use that is generally intended for a similar product, does not correspond to the description given by the vendor, or does not have the quality announced by the vendor or agreed to therewith. This warranty enables the Client to choose between repair or replacement of the Product, subject to the conditions with respect to cost specified by article L 211-9 of the Consumer Code. The Client is excused from proving the existence of defective conformity of the Product for a period of twenty-four months following its delivery.


14. Reserve property

Products sold shall remain the sole and complete property of the Company until all amounts due relative to the Order are received from the purchaser, including fees and taxes.


15. Limitation of Liability

Under no circumstance shall the Company be deemed to be at fault or held liable for any late or improper execution or lack of execution that might be due to a situation of force majeure or a fortuitous event, as defined by legislation and the French case law.
In the event of the Company’s failure to comply with the General Terms of Sale, the total amount payable to the Client cannot exceed the total price of the Product.

The Client shall describe the problem in details, provide the order number, his/her name and surname, confirm his/her address. It is highly recommended to provide a copy of the order confirmation, a copy of the invoice or the last email received from the Company. The Company shall reply to the Client by mail, email or phone. The Client shall be informed if there is no immediate solution to the problem.


17. Non-waiver agreement

The fact that one of the parties does not call on a failure by the other party in complying with any one whatsoever of the obligations mentioned in the General Terms and Conditions of Sale may not be construed as a waiver of the obligation in question.


18. Governing Law

The Terms and Conditions of Sale are governed by French law. The parties shall attempt to amicably resolve any disputes that might arise between them regarding the construction or execution of these General Terms and Conditions of Sale. If an amicable settlement can not be reached, either party may initiate a contractual mediation procedure or refer the matter to the competent court.


19. Privacy Policy

Under French Law n° 78-17 of January 6, 1978, referred to as "Informatique et libertés", as modified by French Law of August 6, 2004, the personal data of the Client (name, surname, email address, address, phone number, banking information) is collected by the Company firstly, to process the Order correctly and secondly, to provide the Client with the best possible service. All information in fields marked with an asterisk (*) is mandatory.
The Client has the right to oppose commercial solicitation and/or to access the information concerning him/her, rectify it and/or suppress his/her personal data held by the Company by sending an email to info@origines-parfums.com or a mail to SAS DIVABOX - CS 14001– 20700 AJACCIO CEDEX 9 (enclose copy of an official identification document).
By navigating on the Website or ordering one of the Products offered on the Website, the Client agrees that the personal data collected shall be used for billing. The Company saves all the personal data collected for 2 years following the order date. The Company may use the personal information that it collects to provide the Client with products and information. Under French Law n° 78-17 of January 6, 1978, referred to as "Informatique et libertés", as modified by French Law of August 6, 2004, to unsubscribe from our marketing emails, the Client may click the “unsubscribe here” link, located in the footer of each email marketing campaign or contact our Customer Service by email or mail.

The Company is the recipient of personal data collected by means of this Website. It may, however, be liable to forward this data to third parties. Users may object to such transfer by indicating such using the abovementioned contact points.


20. Non Waiver Clause

The fact that the Company abstains from demanding at a given time the performance of any of the provisions of the present General Terms and Conditions of Sale may not be interpreted as a waiver of its right to cite subsequently said complete or partial non-performance.


21. Validity of General Terms and Conditions of Sale
